REPORT OF THE TRUSTEES AND AUDITED FINANCIAL STATEMENTS FOR THE YEAR ENDED 05 APRIL 2020
The Trustees present their report with the financial statements of the charity for the year ended 05 April 2020 with the following notes:
1. The charity was registered on 8 May 2019. The accounts from April 5th 2019 to 07 May 2019 were under the auspices of the Friends of Millport Town Hall. The name of the bank account was changed on charity registration and the balance carried forward.
2. The accounts have been prepared according to the regulations laid down by OSCR.
3. Under the special regulations introduced by OSCR during the COVID 19 pandemic it is admissible to have typed signatures on documents.
4. As the charity is in fundraising status and the project is not yet operational simple Treasurer accounts suffice. If the project becomes live then an Accountant will be engaged, accounting software will be used and full accounting procedures and accounts will be adopted.
5. The charity trustees consider that the audit requirement of Regulation 10(1) (d) of the 2006 Accounts Regulations does not apply and the Independent Examination has been carried out in accordance with Regulation 11 of the 2006 Accounts Regulations.
6. As the charity is still in the fundraising phase and the project has not proceeded to the build stage, there are no business/operational matters to discuss.
7. As per the Constitution it will not be necessary to retire/elect new Trustees as this is the inaugural AGM.
CHARITY AIMS AND OBJECTIVES:
The organisation has been formed to benefit the Community of THE ISLE OF CUMBRAE, with the Purposes listed below - to be exercised following the principles of sustainable development (where sustainable development means development which meets the needs of the present without compromising the ability of future generations to meet their own needs), namely:
The organisation’s main purpose is consistent with furthering the achievement of sustainable development. The organization’s purposes are:
To advance citizenship and community development by creating a community hub which will contribute to the development and sustainability of the local community infrastructure and aid participation, social inclusion and offer inter-generational opportunities as well as enhancing a sense of pride and identity and facilitating the rural regeneration of an economically deprived area.
To provide recreational activities, with the object of improving the conditions of life for the persons for whom the facilities or activities are primarily intended.
To promote rural, economic and social regeneration in an island community by encouraging and supporting public involvement in the planning and development process. To provide opportunities for skills training, volunteering opportunities and the creation of employment roles.
To advance arts, culture and science opportunities by providing a much-needed performance and meeting space for the benefit of the community and to strengthen and make more resilient the future of Cumbrae.

MILLPORT TOWN HALL - ANNUAL TRUSTEES REPORT - 2019/2020
REPORT BY THE CHAIRPERSON
Welcome to the first Annual Report for Millport Town Hall Charity which was registered as a Scottish Charitable Incorporated Organisation on 8 May 2019. This followed a positive result from a feasibility study commissioned by the steering group Friends of Millport Town Hall to investigate if the closed and at risk building could be regenerated to provide a sustainable community asset.
This past year has been spent raising public, political and local interest in the campaign and major fundraising applications have been undertaken. A website has been designed and Cumbrae Lottery has been launched which provides a regular monthly income to cover administrative costs.
The costs to regenerate this site are not small but extensive research and analytical study have demonstrated that as a Heritage Centre, Arts and Culture Centre and a Community Centre the social and economic benefits to the whole island will be substantial. As an area of North Ayrshire which has just been given its own datazone in the Scottish Index of Multiple Deprivation statistics 2020 the fragile state of the tourist led economy of Cumbrae is a major focus for this project.
Following the Community Empowerment Act an application for an asset transfer of the property was made to North Ayrshire Council in May 2019. A decision notice is not yet forthcoming.
Despite the challenging political and economical landscape the UK has witnessed during this financial year we are pleased to report:
Grant Funding Awarded £82,471
Funding Pledges £220,000
The funding awarded is being spent on developing the concept designs and engineer reports and investigations through to tender and procurement stage for the necessary works. We are most grateful to the Scottish Land Fund, the Architectural Heritage Fund and North Ayrshire Council for their financial support to this end.
The funding pledges are monies awarded in principle dependent on other funds being achieved and we have a further award from the Land Trust promised for when we are nearer to opening doors.
We have one funding application under consideration at the moment but further fundraising is largely on hold as funders are repurposing their strategies towards the effects of the Coronavirus 19 pandemic.
The Scot Gov Social Capital in Scotland Report of Feb 2020 reflects that :
It is essential to create, retain and maintain the environmental and social infrastructure that supports social interactions and participation in communities – the informal public places, spaces, and facilities where people spend time, gather and meet.
As I write this it would seem these ideals will be even more important to our small island community in the future and we hope this is recognised by Scot Gov and also North Ayrshire Council in the context of their new Community Wealth Building Initiative and the pillars this project upholds - namely:
Advancing community enterprises;
Advancing local ownership of underused land and buildings; and
Supporting local business activities and increasing the variety of ownership models.

They would also like to thank all their supporters and particularly the local community for their interest, their contributions to our fundraisers, their membership of Cumbrae Lottery and above all their loyalty and belief in this project.

TREASURER’S REPORT MAY 2020
This is the first Treasurer’s Report for Millport Town Hall which was incorporated as a Scottish Charitable Incorporated Organisation on 8th May 2019.
The financial year runs from April 6th to April 5th each year and during this past financial year the original steering group Friends of Millport Town Hall changed the name of their bank account to Millport Town Hall on 1st June 2019 to reflect the change to a charitable status.
There are two bank accounts: 1. MILLPORT TOWN HALL which is the general Treasurer’s account and 2. MILLPORT TOWN HALL (BIG) to house Big Lottery and other funding awards.
It should be noted that funding awards are paid on submission of invoice rather than as a lump sum to the charity. We currently have £60,672 of awarded funding available but £26,500 of this is contingent on our acquisition of the site.

If the project achieves fulfilment then a separate business bank account will be set up for the trading subsidiary Town Hall Cumbrae. At present it is sufficient to maintain simple accounts as the Trading Subsidiary is not yet operational and the whole project is only in its capital build fundraising stage.
If Town Hall Cumbrae Ltd commences operation it will have one sole shareholder which is to be Millport Town Hall SCIO. All profits from the trading subsidiary will be gift aided up to the parent charity.

Independent Examiner’s Report to the Trustees of Millport Town Hall
I report on the accounts of the charity for the year ended 5th April 2020
Respective responsibilities of trustees and examiner
The charity’s trustees are responsible for the preparation of the accounts in accordance with the terms of the Charities and Trustee Investment (Scotland) Act 2005 and the Charities Accounts (Scotland) Regulations 2006 (as amended). The charity trustees consider that the audit requirement of Regulation 10(1) (d) of the 2006 Accounts Regulations does not apply. It is my responsibility to examine the accounts as required under section 44(1) (c) of the Act and to state whether particular matters have come to my attention.
Basis of independent examiner’s statement
My examination is carried out in accordance with Regulation 11 of the 2006 Accounts Regulations. An examination includes a review of the accounting records kept by the charity and a comparison of the accounts presented with those records. It also includes consideration of any unusual items or disclosures in the accounts, and seeks explanations from the trustees concerning any such matters. The procedures undertaken do not provide all the evidence that would be required in an audit, and consequently I do not express an audit opinion on the view given by the accounts.
Independent examiner’s statement
In the course of my examination, no matter has come to my attention which gives me reasonable cause to believe that in any material respect the requirements:
to keep accounting records in accordance with Section 44(1) (a) of the 2005 Act and Regulation 4 of the 2006 Accounts Regulations
to prepare accounts which accord with the accounting records and comply with Regulation 9 of the 2006 Accounts Regulations
have not been met, or
to which, in my opinion, attention should be drawn in order to enable a proper understanding of the accounts to be reached.
